IMPORTANT
Please read this agreement and the information concerning ci-online carefully before you subscribe or register. YOU WILL BE LEGALLY BOUND BY THIS AGREEMENT AND THIS INFORMATION WHEN CI-ONLINE ACCEPTS YOUR SUBSCRIPTION OR REGISTRATION.

GLOSSARY
Informa means Informa UK Ltd, a company incorporated under England whose registered office is at 19 Portland Place, London, W1N 3AF, United Kingdom. The ci-online is provided by Informa.
Information means all information and other content contained in or contributed to the Network
Network means the ci-online, in whole or in part
Service means the information services available as part of the Network
Subscription means the fee payable to Informa for the services available on the Network

1. LICENCE
   Upon payment of the Subscription, Informa grants you a non-exclusive and non-transferable LICENCE to access the Services you have subscribed to and to:
   
   • read the Information and download copies for your personal use (but not for distribution to others)
   • contribute your Information to the pages of the Network in the form designated by Informa; this Information may be accessed by all other users to the Network
   You must not:
   
   • use the Network in any other way including copying, storing, processing or redistributing it
   • contribute Information which is defective, defamatory, obscene, infringes another's copyright or trademark or is otherwise in breach of any applicable law or regulation
   • allow any third party to use your password

2. SUBSCRIPTION
   The Subscription fee will vary according to parts of the Service you have subscribed to. Payment for the Service by the subscriber is made annually in advance.

3. MONEY BACK GUARANTEE
   If at any time your requirements change, you may cancel your subscription and receive a refund of the unexpired portion.

4. WARRANTIES
   
   • Informa will make reasonable efforts to ensure the accuracy and reliability of the Network.
   • However, Informa makes no other representations or warranties concerning the Network including warranties as to satisfactory quality and fitness for a particular purpose, accuracy or completeness, or that the Network will be uninterrupted or error free.

5. LIABILITY AND INDEMNITY
   
   1. Subject to the provisions of sub-clause 4(b) Informa will not be liable for any direct financial or economic loss, damage or expense including loss of profit arising out of the use of the Network (including any error in the Information) or any transaction made on or over the Network
   2. In no event will Informa's aggregate liability for breach of contract or negligence (save in respect of death or personal injury) exceed the total Subscription paid by you during the year in which the alleged damage or loss occurred or where Informa carries appropriate insurance the amount of cover afforded by such insurance
   3. You will indemnify Informa against any costs, claims, loss or expense incurred by Informa arising out of your use or misuse of the Network including any Information contributed by you to the Network.
6. MODIFICATION AND WITHDRAWAL OF THE SERVICE
   Informa may modify and/or withdraw the Network. If the Network is withdrawn, Informa will refund to you any unexpired portion of the Subscription you have paid in advance from the month in which withdrawal occurs.
7. INTELLECTUAL PROPERTY RIGHTS AND CONFIDENTIALITY
   Informa is the owner or licensee of or has the right to provide the Network and all Information appearing on it.
8. TERMINATION
   
   • Informa may terminate your access to the Service immediately without notice if you are in breach of any terms or conditions of it, including if you default in the payment of the Subscription. No refund of your Subscription will be payable in either case.
   • Clauses 4, 5 and 6 will survive termination of this Agreement.

9. GENERAL
   
   • This agreement and the information concerning the Network on the ci-online home page create legal rights and responsibilities relating to the Service. If there is a conflict between this agreement and the information, this agreement will prevail.
   • Delay or failure by Informa in enforcing this agreement will not constitute a waiver by Informa of its rights or remedies.
   • If any part of this agreement is held to be invalid or unenforceable, the validity or enforceability of the remainder will not be affected.
   • The password will be kept confidential by you. If you learn or suspect that any password has been revealed to a person not authorised to use the Network, you will immediately notify us. We will then cancel the password and, subject to certain conditions, we will assign a new password to you

10. NOTICES
    We will give you general notices under this agreement via the ci-online home page. These notices will be effective when they are published on that page.

11. GOVERNING LAW AND JURISDICTION
    This agreement will be governed by and construed in accordance with UK law and both parties submit to the non-exclusive jurisdiction of the UK courts.

12. REGISTRATION INFORMATION Informa may use your registration information for advertisement purpose or to provide you with information on other Informa services and products (and supply your registration information to other Informa companies to provide you with information on other products and services) which you may find to be of interest. If you prefer not to receive such information or if you prefer that your registration information may not be used for advertisement purposes, please tick the box in the subscription form.
